Housemarque were already basically doing what Sony wanted from them but if they were looking to sell there is no guarantee the new management would continue with their Sony partnership in the long term. Therefore, even if Sony hadn't necessarily planned on acquiring Housemarque, they could have been forced to in order to prevent someone else from doing so.

The alternative is of course that Sony just thought up some big plans for Housemarque and wanted to invest in them for the future. Both scenarios are things that happen fairly regularly.

Given Housemarque past history, I would guess Ubisoft. They did develop Outland for them.

Housemarque also worked with Activision on a few games (Angry Birds Trilogy) but unless they worked with them on COD, Activision probably wouldn't be interested.

Sony wanted to buy Housemarque before Returnal was finished, HM just said put talks on hold until they are finished with the game before diving into those talks, probably due to not really having the staff to do both. So pretty unlikely it was reactionary.

USA: Much harder to figure out who the most likely candidate is.

Activision, Take-Two, Epic, Microsoft, EA and Amazon Games are one way or another potential buyers on paper.

I'd have to imagine someone like Devolver Digital, another primarily indie publisher.

Maybe prior to Returnal they would've been interested, but Housemarque have been clear that they like the AAA approach of that game and it's the direction hey want to continue in. Particularly since they're able to incorporate their arcade gameplay into a AAA product.
