The lawsuit, filed Tuesday in the U.S. District Court for the Central District of California, also targets Activision Blizzard's CEO, chief financial officer, and ex-CFO.

The suit accuses the company of stuffing its securities filings with vague disclosures about "routine" legal claims to deflect attention from the existential threat posed by an investigation into its "frat boy" culture by the California Department of Fair Employment and Housing.

When the agency's lawsuit against the company came to light July 21, its stock price plunged, leading to a "precipitous decline in the market value," the complaint says.


Activision Blizzard failed to disclose "numerous complaints about unlawful harassment" despite knowing that "the pervasive culture of harassment, discrimination, and retaliation would result in serious impairments" to its operations, according to the proposed class action.

That concealment artificially inflated the company's stock, the suit says.
Granted it's just one investor filing the lawsuit. Someone with more legal knowledge will have to say if this guy has a legitimate case or not.

this it the sort of stuff that makes executives shit their pants. The more investors ask for monetary compensation the more Activision and Blizzard are hit hard by this.

There's merit here; because of the stock price impact companies are supposed to disclose shit like this...you see it in any annual report. They can argue they didn't know about it but, lol. It will turn into a class action lawsuit with legal teeth

Shareholders should sue Kotick directly as well. The company hiding these allegations back when shareholders voted to give him a sizable bonus surely wasn't legal or at the very least ethical? I am not a lawyer, though, so I'm unsure if they can even sue him or if it has to be the company.

This super typical btw. Matt Levine from bloomberg has written extensively about this (i.e. "Everything is securities fraud")

Basically if there is some internal scandal, investors will try to sue not ao much about the content about the scandal itself, but that the scandal's existence is bad for the stock and thus by not disclosing it, executives were not disclosing material information and thus were committing fraud. Happens all the time with varying success!

Feels like this Blizzard stuff has been bubbling up long enough that investors could have easily found out about it through a Google search. Don't they do research before investing in these giant companies?

I hope this pressure leads to the top people who allowed this culture of harassment and abuse to having to resign or be fired. The industry clearly needs to make a statement that this stuff cannot be condoned or ignored anymore.

Yeah, this is a huge problem. If they didn't disclose to the shareholders that they were being investigated by the state of California in any capacity is massive. That's something that should be in your financials and I know for a fact it should have been disclosed in their annual audit the for the previous 2 years.

A lot of shares were traded on the day the lawsuit was announced. This impacted many many investors. If Activision/Blizzard was aware of the impending lawsuit it should possibly have been disclosed.

Correct any litigation is inquired about by auditors. We usually pull it from the GL and send confirmations out to attorneys. If it wasn't disclosed in the FS that is a big uh-oh! Considering it's PWC who does their FS, it wouldn't surprise me if this was left out tho.

No doubt a large chunk of them scooped up the stock and dozens of others all at once in a bundle or some shit and don't pay much attention to anything other than whether or not they're losing money until some scandal happens and then they end up digging deeper.

Disclosure lawsuits are often on the minor side of things, in the context of commercial litigation. Unlike CA's enforcement suit, this is more along the lines of an additional nuisance than an actual threat.

Kotick and high positions at Blizzard should be gone, including everyone at HR. If anything, Blizzard is likely done and Activision will just put Blizzard under the same name now. Trying once again to sweep things under the rug.
